Third-Party Data Transfer Commitment

COMMITMENT REGARDING THE PROTECTION OF PERSONAL DATA

This Commitment Regarding the Protection of Personal Data (“Commitment”) is made between the natural or legal person supplier (“Company”) who is a member of the Bulkoon platform and operates through the platform, and BULKOON AYAKKABI VE DERİ ÜRÜNLERİ SANAYİ TİCARET LİMİTED ŞİRKETİ, registered with trade registry number 1130643, located at Akçaburgaz Mah. 3027. Sk. No: 1 F Esenyurt / Istanbul (“Corporation”) (individually “Party” and collectively “Parties”), within the scope of the Supplier Agreement concluded between them, covering the commitments of the Company regarding the personal data transferred to the Corporation by the Company.

  1. Within the scope of this Commitment;

a. “Personal Data(ies)”; Any information relating to an identified or identifiable natural person to be transferred by the Company to the Corporation,

b. “Special Categories of Personal Data(ies)”; Data relating to a person's race, ethnic origin, political opinion, philosophical belief, religion, sect or other beliefs, appearance and clothing, association, corporation or union membership, health, sexual life, criminal convictions and security measures, as well as biometric and genetic data (within this Commitment, the term “Personal Data(ies)” shall also include “Special Categories of Personal Data” to the extent appropriate),

c. “Processing”; Any operation performed on personal data, whether or not by automated means, including obtaining, recording, storing, preserving, altering, reorganizing, disclosing, transferring, acquiring, making accessible, classifying, or preventing the use of such data,

  1. “Law”; refers to the Law No. 6698 on the Protection of Personal Data

as defined.

  1. The Company acknowledges, declares, and undertakes that it processes and transfers to the Corporation the Personal Data in accordance with the procedures and principles set forth in the Law, relevant regulatory actions, and provisions on the protection of Personal Data in the applicable legislation.

  2. The Company acknowledges, declares, and undertakes that it has informed the data subjects of the Personal Data transferred to the Corporation in accordance with the procedures and principles set forth in the Law, relevant regulatory actions, and provisions on the protection of Personal Data in the applicable legislation, and has obtained explicit consent from data subjects when required by conditions.

  3. The Company acknowledges, declares, and undertakes that it will take all necessary technical and administrative measures, considering the decisions of the Personal Data Protection Board, to ensure that the transfer of Personal Data to the Corporation is carried out lawfully.

  4. If the personal data to be transferred by the Company to the Corporation is special category data, the Company acknowledges, declares, and undertakes that it will transfer such Personal Data to the Corporation subject to additional security measures and authorizations in accordance with Article 6 of the Law, relevant legislation provisions, and decisions of the Personal Data Protection Board.

  5. The Company acknowledges, declares, and undertakes that any data subject requests related to the Corporation, which are directly or indirectly communicated to the Company, will be immediately forwarded to the Corporation (no later than three business days), and that it will act in compliance with the Law in this regard.

  6. The Corporation reserves the right of recourse against the Company for any direct or indirect damages, legal, administrative, and criminal sanctions, and compensations that the Corporation may incur due to the Company's breach of this Commitment or applicable legislation, or due to reasons arising from the Company, its business partners, or third parties to whom personal data is sent by the Company. The Company acknowledges, declares, and undertakes that it will immediately, fully, and in cash compensate the Corporation for all direct and indirect damages incurred by the Corporation upon request.

  7. This Commitment is governed by Turkish law. All disputes arising from or related to this Commitment shall be finally resolved by arbitration under the Istanbul Arbitration Center Arbitration Rules.
